Ilran Kim is a co-founder and member of Umana Law LLC and has been a corporate lawyer since 1998. Her practice focuses on representation of:
•Private businesses in connection with start-up matters involving organizational documents, state corporate filings in the jurisdiction of formation, qualification filings in other US states, shareholder agreements, share issuances and agreements related to employment/consulting matters
•Ongoing representation of private businesses in connection with matters involving corporate governance, state corporate filings and business agreements
•Purchasers and sellers in various public and private acquisitions involving stock purchases, asset purchases and mergers
•Issuers and investors in connection with debt and equity financings
•Executives in connection with employment, severance and retention agreements
Prior to forming Umana Law LLC, Ms. Kim practiced as Of Counsel at Gehrke & Umana LLP, a business and general corporate law “boutique” firm, and as a Junior Partner in the Corporate Department of Hale and Dorr LLP (predecessor to WilmerHale LLP), where she represented public and private companies engaged in diverse industries, including software, medical devices, biotechnology and consulting services.
Ms. Kim received her J.D. degree from Columbia University School of Law in 1998. She received her B.A. degree in History of Art, cum laude, from New York University, College of Arts and Science in 1992.
Ms. Kim is admitted to practice in the Commonwealth of Massachusetts. She is a member of the Boston Bar Association.
